These Terms of Service (the “Terms”) govern your access to and use of the PNG Tax Management System (the “Service”), operated by SWL PNG Limited (“SWL PNG”, “we”, “us”) in Port Moresby, Papua New Guinea, and engineered by Onepiecetechnology Co., Ltd.

By creating an account or using the Service you agree to these Terms.

1. Accounts

You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for all activity under your account. Accounts are personal; you may not share credentials with any third party.

2. Plans, Trials, and Billing

We offer a free trial of 14 days that requires no credit card. Paid plans are billed monthly or annually in advance. Fees are exclusive of applicable taxes (GST). If payment fails, we may suspend access after written notice. You may cancel at any time; cancellation takes effect at the end of the current billing period. Refunds are not generally provided for partial periods except where required by law.

3. Your Data

You retain all ownership of the data you upload to the Service (“Customer Data”). We process Customer Data solely to provide the Service. Our handling of personal information is governed by our Privacy Policy.

4. Acceptable Use

You agree not to:

use the Service to break any applicable law, including PNG taxation, anti-money-laundering, or data-protection laws;
attempt to reverse engineer, copy, or create a competing product from the Service;
upload malware, attempt to disrupt the Service, or bypass access controls;
use automated scraping or load-generation tools against the Service without prior written consent.

5. Tax Content and Professional Advice

The Service provides calculations and reports based on tax rules encoded at the time of use. We make reasonable efforts to keep these rules current with IRC regulations, but we do not provide legal or tax advice. You are responsible for reviewing all calculations with a qualified professional before filing any return or remittance with the Internal Revenue Commission (IRC) or any other authority.

6. Availability

We strive for continuous availability but do not guarantee uptime. Planned maintenance will be announced in advance where possible. We are not liable for transient outages beyond our reasonable control (network, upstream infrastructure, force majeure).

7. Termination

We may suspend or terminate accounts that violate these Terms or that we reasonably believe to be fraudulent or unlawful. Upon termination, you will have a reasonable period (at least 30 days) to export your Customer Data. After that period we may delete it.

8. Disclaimers and Liability

To the maximum extent permitted by law, the Service is provided “as is” without warranties. Our aggregate liability for any claim arising from the Service is limited to the fees you paid us in the twelve months immediately preceding the event giving rise to the claim.

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email and by posting a notice on this page at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.

10. Governing Law

These Terms are governed by the laws of the Independent State of Papua New Guinea. Any dispute will be resolved in the courts of Port Moresby unless the parties agree otherwise in writing.
